  • Overview

    The Corporate Paralegal will assist the Legal Service’s department by providing legal support to the Company.


    The Corporate Paralegal shall be responsible for, but not limited to, the following:

    • Manage database/tracking of state license registrations compliance, including working across the organization for renewals, communicate any issues, and filing master documents.
    • Facilitate process for review/approval of corporate documents, banking, board of directors, board of managers, shareholders, agreements, and licenses. Ensure appropriate filing system and support identification of Notary Public services, as necessary.
    • Coordinate the Company Board meetings, prepare resolutions, meeting minutes, acquiring signatures, and managing the Company corporate books.
    • Prepare and finalize legal contracts, including basic research of related topics and memorandums of law. Maintain appropriate filing system of executed documents.
    • Prepare and file litigation documents, including discovery, bankruptcy, and etcetera. Coordinate with external counsel and third-party experts for legal services in preparation of disputes.
    • Prepare internal report updates for review of Head of Legal Services.
    • Review and prepare external counsel invoices for Head of Legal Services approval. Maintain legal budget accrual for legal matters.
    • Assist with the preparation and review of non-disclosure agreements.
    • Assist with Company compliance documentation, approval, and file maintenance.
    • Assist with Company real estate agreements and obligations. Coordinate with LEHQ with maintenance of the real estate database (RED).
    • Learn and abide by the Linde Code of Ethics and Code of Conduct. Demonstrate honesty, integrity, and professionalism in all communications, actions and decisions.


    • 3 years' experience at a law firm or in-house legal department working with basic commerical contracts and general corporate matters. Some experience with litigation, including discovery and case managment preferred.
    • Paralegal Certificate required.
    • Knowledge and ability to be proactive in identifying issues, legal risks, and potential liabilities, and the communication ability to relay those concerns to the appropriate Legal Services attorney.
    • Excellent communication skills, both verbal and writing.
    • Effective legal research, analysis and writing skills.
    • Detail oriented, especially in proofing and maintaining legal documents.
    • Ability to manage multiple tasks, prioritize, and meet deadlines.
    • Ability to handle and maintain confidential information within the Company policy and legal standards.
    • Effective computer skills with standard software, and other Company and discipline specific software applications.
    • Ability to thrive within a team and collaborate both internally and externally.
