  • Overview

    This position manages the commercial and legal aspects of process plant projects after contract award.

     

    During project execution, the Contract Manager supports the project manager, and takes ownership of commercial and legal matters, and commercial risk mitigation. They are part of the project team and participate in all relevant project team meetings. As part of the project team, the. Contract Manager identifies commercial and legal risks and problems, and solves and mitigates such pro-actively in close cooperation with the project manager and other team members.

     

    Responsibilities

    The Contract Manager- Project Execution shall be responsible for, but not limited to, the following:

     

    • Supporting the project manager and project team in commercial matters.
    • Participate in project team meetings, where applicable.Support the identifycation and documentation of commercial and legal risks during project execution and develop action plans to mitigate such in close cooperation with the Project Manager.
    • Support of and cooperation with Project Control in analyzing project delays.
    • Support the proactive preparation, submittal and negotiation of project change orders and claims in close cooperation with Project Manager.
    • Support the defense of client , consortium partner, or third party (e.g. vendor, subcontractor) claims and back charges.
    • Hold project commercial kick-off meetings.
    • Invoice towards client and monitor client payments.
    • Handle payments under clients’ letters of credit.
    • Request bank guarantees and parental guarantees and provide such to the client.
    • Provide insurance certificates to the client.
    • Communicate with client directly on commercial matters, in agreement with the project
    • Manage and update the contract value and payment plan in SAP-SD.
    • Align project details with Finance department (i.e. support cash flow planning, close-out), and Project Controls department.
    • Coordinate with Linde tax department and implement tax requirements.
    • Coordinate with local authorities and prepare all necessary documentation in accordance with local laws and regulations.
    • On global projects, coordinate commercial matters with counterparts at other LE entities.
    • Demand client of fulfillment of contractual obligations and monitoring of such. Monitor and follow up the fulfillment of client's contractual obligations.
    • Communicate legal and commercial requirements to the project manager and project team, including summary of terms.
    • Liaise with outside partners (esp. Linde Group companies) auditors and counsel/tax advisors as required.
    • Handle insurance claims.
    • Perform financial close-out of project in agreement with Project Controls and Finance
    • Handle warranty issues for the respective project.

     

    Qualifications

    • Business Degree, or Construction Management Degree, or equivalent combination of education and experience.
    • Three years of experience in the field of commercial project management, contract administration, contract management, subcontract management, or equivalent.
    • International/intercultural experience preferred. 
    • Able to multi-task, self-motivated, acute attention to detail.
    • Strong sense of responsibility.
    • Able to work well with and within matrix organization.
    • Effective negotiation, analytical and problem-solving skills.
    • Effective organization skills including the ability to prioritize and plan work.
    • Interest in project business.
    • General understanding of contract law and risk management principles
    • Must have a working knowledge of drafting and/or interpreting contract language.
    • Change and claims management.
    • Must have strong computer skills including Word, Excel, PowerPoint and Lotus Notes.Must have effective communication skills both verbally and in writing with superiors, colleagues, and individuals inside and outside the Company and across borders.
    • Inter-cultural awareness.
